Terms of Service

These Terms of Service ("Terms") govern your access to and use of Portals, a business operations platform operated by Geolize SpA ("Geolize," "we," "us," or "our"). Portals includes our websites, applications, APIs, and all related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Account registration

To use the Services, you must create an account. You agree to provide accurate and complete information, keep your credentials secure, and promptly update any changes to your information. You are responsible for all activity that occurs under your account.

You must be at least 16 years old to use the Services. By creating an account, you represent that you meet this age requirement.

2. Description of the service

Portals is a business operations platform that enables organizations to manage projects, teams, clients, costs, and workflows in a unified system. The specific features available to you depend on your subscription plan.

3. Subscription and billing

Plans and pricing

The Services are offered under various subscription plans as described on our pricing page. We reserve the right to modify pricing with 30 days' prior notice. Price changes will take effect at the start of your next billing cycle.

Free trials

We may offer free trial periods. At the end of a trial, you must select a paid plan to continue using the Services. If you do not select a plan, your account will be paused and your data will be preserved for 90 days.

Payment

Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until the end of the period you have already paid for.

4. Your content

You retain all rights to the data, content, and materials you submit to the Services ("Your Content"). By using the Services, you grant us a limited license to host, store, process, and display Your Content solely to provide and improve the Services.

You are responsible for Your Content and represent that you have the necessary rights to submit it. We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Services.

5. Acceptable use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the Services or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for any fraudulent, deceptive, or illegal activity
• Reverse engineer, decompile, or disassemble the Services
• Resell, sublicense, or redistribute the Services without authorization
• Use automated means to access the Services in a way that exceeds reasonable use

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual property

The Services, including all software, design, text, graphics, logos, and other materials, are the property of Geolize SpA and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

"Portals" and the Portals logo are trademarks of Geolize SpA. You may not use our trademarks without prior written consent.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you agree to the practices described in the Privacy Policy.

8. Third-party services

The Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to the terms of those services.

9. Confidentiality

Each party agrees to treat the other party's confidential information with reasonable care and not to disclose it to third parties except as necessary to perform under these Terms. Customer Data is considered your confidential information. The terms of your subscription (including pricing) are considered confidential.

10. Service availability and modifications

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features of the Services with reasonable notice. For material changes that negatively affect your use, we will provide at least 30 days' notice.

11. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by applicable law, Geolize SpA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Geolize SpA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

14. Term and termination

These Terms remain in effect while you use the Services. We may terminate or suspend your access immediately if you breach these Terms, if required by law, or to protect the Services or other users.

Upon termination, your right to use the Services ceases. We will make Your Content available for export for 30 days after termination. After that period, we may delete Your Content.

15. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting notice on the Services or sending you an email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Chile, without regard to conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Santiago, Chile.

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

17. General provisions

• Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Geolize regarding the Services.
• Severability: if any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• Waiver: failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: you may not assign these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• Force majeure: neither party will be liable for delays or failures caused by events beyond reasonable control.
